Please read these Terms of Service ("Terms") carefully before using the Smart Hire Pros website or engaging our recruiting services. By accessing our website or entering into a service agreement with Smart Hire Pros ("we," "us," or "our"), you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Services

Smart Hire Pros provides done-for-you recruiting and talent placement services for businesses seeking to hire remote professionals. Our services include sourcing, screening, skills testing, background verification, and candidate presentation. The specific scope of services for each engagement is governed by the service agreement entered into between Smart Hire Pros and the client.

2. Eligibility

Our services are available to businesses and individuals who are at least 18 years of age and have the legal authority to enter into binding contracts. By using our services, you represent and warrant that you meet these requirements.

3. Engagement and Fees

Commitment Fee

To initiate a dedicated search, Smart Hire Pros requires a commitment fee of $1,000 USD. This fee is credited in full toward your final placement fee upon a successful hire. The commitment fee demonstrates your intent to hire and enables us to allocate dedicated headhunting resources to your search.

Refund Policy

If you decide not to proceed with a hire after paying the commitment fee, 50% ($500) of the commitment fee is refundable, provided no placement has been made and you notify us in writing within 30 days of payment. The remaining 50% compensates for the sourcing and screening work already performed.

Placement Fee

The full placement fee is due upon your acceptance of a candidate and your decision to hire. The specific fee amount is outlined in your individual service agreement. All fees are one-time and flat — there are no monthly retainers, ongoing markups, or recurring charges.

Payment Terms

All fees are due within 7 days of invoice. Late payments may be subject to a late fee of 1.5% per month on the outstanding balance. Smart Hire Pros reserves the right to suspend services for accounts with overdue balances.

4. The 90-Day Guarantee

Smart Hire Pros offers a 90-Day Perfect Hire Guarantee on all placements. If a placed candidate is terminated for cause or voluntarily resigns within 90 days of their start date, Smart Hire Pros will conduct one additional search and present a replacement shortlist at no additional placement fee. This guarantee applies up to two times per original placement.

The guarantee is subject to the following conditions:

• The client must notify Smart Hire Pros in writing within the 90-day guarantee period.
• The guarantee does not apply if the candidate's departure was caused by changes in the client's business (e.g., layoffs, role elimination, or significant changes to compensation or working conditions).
• The guarantee does not apply if the full placement fee has not been paid in full.
• The guarantee is limited to two replacement searches per original placement.

5. Client Responsibilities

To enable Smart Hire Pros to deliver the best possible candidates, clients agree to:

• Provide accurate and complete information about the role, responsibilities, compensation, and ideal candidate profile during the discovery call.
• Respond to candidate shortlists and provide feedback within a reasonable timeframe (typically 5 business days).
• Conduct interviews and make hiring decisions in good faith.
• Notify Smart Hire Pros promptly if the role is filled through another channel or if the search is to be paused or cancelled.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement, including candidate profiles, business information, and pricing details. This obligation survives the termination of the service agreement.

7. Intellectual Property

All content on the Smart Hire Pros website, including text, graphics, logos, and software, is the property of Smart Hire Pros and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our express written permission.

8. Limitation of Liability

Smart Hire Pros is a recruiting intermediary. We make every effort to present qualified, vetted candidates, but we cannot guarantee the performance, reliability, or conduct of any placed candidate after they are hired. Smart Hire Pros' total liability to you for any claim arising out of or relating to our services shall not exceed the total fees paid by you to Smart Hire Pros in the 12 months preceding the claim.

In no event shall Smart Hire Pros be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost business opportunities, even if we have been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify and hold harmless Smart Hire Pros and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of our services or your violation of these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Florida.

11. Dispute Resolution

Before initiating any formal legal proceeding, both parties agree to attempt to resolve any dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue their legal remedies.

12. Modifications to Terms

Smart Hire Pros reserves the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date at the top of this page. Your continued use of our services after any changes constitutes your acceptance of the updated Terms.

13. Termination

Either party may terminate the service engagement with written notice. Upon termination, all outstanding fees for work performed up to the termination date remain due and payable. The confidentiality obligations and limitation of liability provisions of these Terms survive termination.
